In late 2001, a highly publicized series of corporate reporting scandals led many public company regulators and investors to call for reforms in corporate financial reporting. Congress responded to these concerns by passing the Sarbanes-Oxley Act of 2002 (the Act). The Act mandates the most sweeping changes in reporting by publicly traded corporations since the Securities and Exchange Act of 1934. It impacts the reporting responsibilities of all U.S. publicly traded corporations and their audit firms. Every manager or director of a public company must understand what this historic Act requires and what steps may be taken to fulfill its requirements. Accelerated Filers
The Sarbanes-Oxley Act of 2002 and, in particular, Section 404 have had farreaching effects on the business community. Some accelerated filers adopted a conservative approach to 404 compliance in Year 1, and much has already been written about the high cost of compliance. This was not surprising given the minimal level of available guidance and the high level of uncertainty surrounding the consequences of reporting material weaknesses. As a result, many companies spent more on their first year assessment than will be required on an ongoing basis.
