Professional Experience

With an aptitude for client service, Robert has been a provider of tax, business and transaction advisory services to affluent and ultra affluent families, private equity firms, venture capital groups, and middle market and emerging growth companies in the United States and the U.S. Virgin Islands. He has over 20 years of extensive experience with federal and state tax planning; business and financing transactions; mergers, acquisitions and divestitures; business plan development; domestic and international asset protection; IRS controversy and audit representation; and estate and gift taxation.

Recent Engagements

Mergers and Acquisitions: Facilitated the acquisition of a $25 million media company in New York City by providing both the buyer and seller with structural, transactional, and federal and state tax planning. Also provided guidance and solutions to the preferred equity, mezzanine and senior debt principals and their advisors.

Developed and conducted a tax due diligence program for the acquisition of an Irish parent’s $35 million U.S. subsidiary by a private equity group. Discovered outbound transactions that were not compliant with U.S. law and assisted with the negotiations needed to minimize the tax implications.

Facilitated the acquisition of a $75 million manufacturing company in North Texas. Provided financial and tax due diligence along with structural and transactional assistance to the private equity firm sponsoring the deal.

Facilitated the acquisition of a public company spin-off pharmaceutical contract manufacturer in Seattle, Washington. Provided structural, transactional, and federal and state tax planning assistance to the venture capitalist who assembled the deal.

Domestic and Offshore Planning: Assisted with the reorganization of a client’s offshore structures including both the planning and implementation phase. This involved restructuring the first and second generation dynasty trusts, annuities and operating businesses to better meet the family’s planning objectives.

Federal and State Tax Planning: Designed and implemented a federal and state tax minimization plan for a $55 million real estate development in California. Upon completion of the development, the federal and state tax savings are projected to be in excess of $7.5 million.

Business Transactions: Designed and implemented the business structure for the launch of a vineyard and winery in Oregon. Assisted with entity selection and capitalization, review of financial models and budgets, and the development of the business plan.

Education

Robert graduated from Southwest Texas State University with a BBA in Accounting and later received a Finance Certificate from Southern Methodist University.

Affiliations

Robert is a member of the American Institute of Certified Public Accountants (AICPA), the Texas Society of Certified Public Accountants (TSCPA), and the Dallas CPA Society. He is also a member of the Dallas Leadership Council, the Dallas Foundation Advisory Council, the National Association of Small Business Investment Companies, the North Dallas Chamber of Commerce and St. Monica Dad’s Club.
