Professional Experience

David has twenty years of industry accounting and finance experience with roots in Big 4 audit and a progressive series of senior management roles in corporate accounting, financial planning and analysis, controllership, general management, corporate development and VP Finance roles in both public and private company environments. David’s background is diversified to include expertise in both domestic and international business with industry depth to include consumer products, manufacturing, distribution, software, information services and high tech industries.

Recent Engagements

Conducted financial due diligence for a Dallas private equity firm’s $60 million acquisition of a specialty equipment manufacturer serving the transportation industry.

Conducted due diligence leading to the acquisition of a Mexican subsidiary of its bankrupt U.S. Parent.

Developed and conducted highly tailored due diligence designed to provide revenue stream assurance to a client looking to acquire customer lists from a competing software and hardware value added reseller.

Successfully led the preparation of the business case and conducted due diligence in support of a joint venture for the manufacture of durable consumer goods in Estella, Spain.

Provided pre-LOI due diligence surrounding the potential friendly acquisition of a $150 million wholesale gas distributor. KBA findings led our client to pass on the investment opportunity.

Led a restatement project for a large corporate division’s historical financial results. The restatement effected a change in fiscal year and the elimination of a one-month reporting lag for international units to facilitate the parent company’s S-1 debt registration.

Performed financial and operational due diligence surrounding the potential acquisition of a downstream lumber mill supporting the manufacture of wine and spirits barrels. Findings did not support reported EBITDA and the transaction was not consummated.

Renegotiated a distressed private equity backed company’s credit facilities allowing for relaxed term loan amortization and favorable “paid in kind” interest treatment.

Served in an interim controller capacity for a privately-held manufacturer of infrastructure equipment for the utility and telecom markets.

Education

David received his Bachelor of Business Administration degree from Stephen F. Austin State University, majoring in Accounting.
