Dale has over 16 years of accounting and auditing experience. Formerly the corporate controller for a publicly traded software company, Dale has a depth of experience resolving companies accounting issues as well as guiding companies through SEC reporting requirements. Dale has also worked with both private and public clients in a variety of industries including software, manufacturing, distribution, oil & gas, construction and services.

Recent Engagements

Private Company Audit:  Leads numerous private company audits including many with software revenue recognition and capitalization accounting issues.

Merger & Acquisition:  Assisted a private company through a merger with a public company, including a two step merger process. Also involved in issues surrounding valuation of purchase price and resolving issues related to minority interest buy out, accounting for stock options and deferred compensation issues. Coordinated equity restructuring including the exchange of unsubordinated debt for convertible preferred stock and subsequent modifications to preferred stock instruments.

Initial Public Offering:  Assisted a software company through the Initial Public Offering process, including work on registration statement. Client required extensive help in dealing with underwriters, establishing critical accounting policies and development of periodic financial reporting processes.

SEC Reporting:  Assisted several companies in making the required SEC filings to become publicly traded.

Education

Dale earned is Bachelor of Science in Accounting from Liberty University.
